1. Agreement to Terms
By engaging Conviq ("we","us","our") for any service including strategy calls, AI automation builds, website builds, pre-built workflow templates, consulting sessions, or monthly retainers, you ("Client","you") agree to be bound by these Terms in their entirety. If you do not agree, do not engage our services.
2. Services Provided
Conviq provides four categories of service: (a) AI automation builds using platforms including Make.com, n8n, Anthropic Claude, and others; (b) website builds, ranging from minimalist single-page sites to major custom platforms; (c) pre-built, ready-to-deploy workflow templates sold as digital products; and (d) AI consulting sessions covering operations audits and automation roadmaps. The specific scope of any custom engagement is agreed in writing prior to commencement.
3. Payment Terms
- For custom builds (automation and website projects), a non-refundable deposit equal to one-third (33%) of the agreed setup fee is required before work commences. This deposit confirms the agreement and secures your project slot.
- The remaining two-thirds (67%) of the setup fee is due upon system go-live or delivery, or within 7 days of project completion, whichever comes first.
- Pre-built workflow templates and consulting sessions are paid in full at the time of purchase or booking.
- Monthly retainer fees, where applicable, are billed in advance on the first day of each billing period.
- Late payments accrue interest at 2% per month on the outstanding balance.
- All prices are quoted in USD unless otherwise agreed in writing.
4. Third-Party and Recurring Costs
Domain registration, hosting, and any third-party software subscriptions required to run your system (including but not limited to n8n, Make.com, Cal.com, Shopify, or payment processors) are billed directly to the Client's own card or account, and are not included in Conviq's setup or retainer fees unless explicitly stated otherwise in writing. The Client is responsible for keeping these subscriptions active and in good standing. Conviq is not liable for service interruptions caused by non-payment or cancellation of these third-party accounts.
5. Refund Policy
Deposits are non-refundable once work commences. See our full Refund Policy for details on custom builds, workflow templates, consulting sessions, and retainers.
6. Intellectual Property
Upon receipt of full payment, the Client owns the custom automation workflows and websites built specifically for them. Pre-built workflow templates are licensed for use within the purchasing Client's own business only and may not be resold, redistributed, or repackaged. Conviq retains ownership of any proprietary frameworks, templates, or methodologies used. Third-party tools remain subject to their own licensing terms.
7. Data and Confidentiality
Conviq will not store, sell, or share any Client or end-customer data beyond what is described in our Privacy Policy. Access credentials provided for integration are used solely to build and maintain the agreed systems. Both parties agree to keep all business information exchanged confidential for 2 years following the end of the engagement.
8. Third-Party Tools
Conviq builds systems using third-party platforms including Make.com, n8n, Anthropic Claude, Shopify, Cal.com, and payment processors such as PayPal, Stripe, and other regional payment gateways. Conviq is not responsible for outages, policy changes, pricing changes, or service discontinuation by these third parties.
9. Limitation of Liability
To the maximum extent permitted by law, Conviq's total liability for any claim shall not exceed the total fees paid by the Client in the 3 months preceding the claim. Conviq is not liable for indirect, consequential, incidental, or punitive damages including loss of profits, loss of data, or business interruption.
10. Warranties and Disclaimers
Conviq warrants that services will be performed with reasonable skill and care. We do not guarantee specific revenue outcomes, conversion rates, or business results. Automation and website performance depends on factors outside our control including product quality, pricing, market conditions, and traffic volume. Consulting advice is provided in good faith based on information disclosed by the Client and does not constitute legal, tax, or financial advice.
11. Support and Maintenance
Monthly retainer clients receive monitoring, bug fixes, and minor optimisations. Major scope changes are quoted separately. Support is provided via email with a 1 business day response time. Emergency support (system-down scenarios) is addressed within 4 hours during standard business hours (Monday to Friday).
12. Termination
Either party may terminate a monthly retainer with 30 days written notice. Conviq reserves the right to terminate immediately if the Client engages in fraudulent activity, fails to pay outstanding invoices after 14 days notice, or materially breaches these terms.
13. Governing Law
These Terms are governed by the laws of [Governing Jurisdiction - to be confirmed]. Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in [Arbitration Venue - to be confirmed].
14. Changes to Terms
Conviq reserves the right to update these Terms at any time. Clients will be notified of material changes via email. Continued use of our services constitutes acceptance of the updated Terms.
